Why Clients Ask About Your AI Governance

In February 2024, Air Canada made legal history by arguing something remarkable in court. The company argued that its website chatbot was "a separate legal entity responsible for its own actions."
The airline wasn't joking. The tribunal wasn't amused.
A customer had asked the chatbot about bereavement fares. The chatbot provided incorrect information. The customer booked based on that information, then requested the promised discount. Air Canada refused, pointing to the correct policy buried elsewhere on their website. The customer sued.
In tribunal, Air Canada's defence was straightforward: the chatbot was wrong, but we're not responsible for what it says. It's a separate legal entity.
The tribunal's response was equally straightforward: "It should be obvious to Air Canada that it is responsible for all the information on its website. It makes no difference whether the information comes from a static page or a chatbot."
Air Canada lost. The customer won. The chatbot defence died in a Canadian tribunal.
This happened in Canada. But UK agencies face identical liability under contract law. And here's what matters: when I audit UK agencies, I find teams using AI the same way Air Canada deployed that chatbot—without governance, without oversight, assuming someone else will catch the errors.
They won't. You're responsible for what you publish. "AI did it" isn't a defence in Canadian law. It isn't a defence in UK law. And the regulatory reality arriving for UK agencies isn't hypothetical anymore. It's quantifiable, expensive, and current.
The Triple Threat
Air Canada's mistake wasn't deploying AI. It was deploying AI without accountability structures. No one owned the chatbot's outputs. No one verified its accuracy. No one took responsibility until forced to by a tribunal.
UK agencies make the same mistake with Shadow AI—just distributed across teams instead of concentrated in one chatbot.
I learned this lesson the expensive way. When a major client delayed payment on a multi-million rand project, my South African agency Zonke couldn't withstand the cash flow pressure. We closed. Our sister agency XEIOH survived the blast radius. The difference wasn't talent, capability, or client relationships. It was governance structure. XEIOH had formalised systems because a pharmaceutical client required it. Zonke operated on informal practices—and informal practices reached their limits when external pressure arrived.
From my research into UK agency operations and that lived experience building governance frameworks, I see the same pattern: leadership assumes Shadow AI risk is theoretical, something to address when clients start asking questions. But clients are already asking. And most agencies can't answer.
Shadow AI creates three distinct categories of risk, each with documented consequences in 2024 and 2025:
Regulatory Risk — The ICO is watching, and they're fining 7 times more than last year.
Operational Risk — Samsung lost years of R&D in 20 days through Shadow AI exposure.
Commercial Risk — 80% of your potential clients have "serious concerns" about agency AI use.
These aren't future scenarios. These are present conditions. And your clients aren't waiting for you to figure it out—they're asking the questions now.
Regulatory Risk: The ICO Step-Change
In March 2025, the Information Commissioner's Office issued its first fine against a data processor under UK GDPR: £3,076,320 to Advanced Computer Software Group.
Advanced wasn't the data controller. They were the service provider; the processor handling NHS 111 data for multiple health trusts. When a ransomware attack compromised their systems, 79,404 individuals were affected. NHS 111 services were disrupted.
Advanced argued what many agencies believe: we're just the service provider. The controller is responsible.
The ICO disagreed. Being "just the service provider" offered no protection. Processors have independent obligations under UK GDPR. Advanced failed to meet them. The £3 million fine confirmed it.
This matters for agencies because you're almost always the processor, not the controller. Your client owns the data. You process it. Under Article 28 of UK GDPR, you carry independent liability for how you handle that processing. When your team uses Shadow AI tools with client data, you're engaging sub-processors your client never approved. You're creating processor liability without processor protection.
The enforcement trend confirms this isn't theoretical. According to research from URM Consulting, ICO average fines rose from approximately £150,000 in 2024 to between £933,000 and £2.8 million in 2025—a seven-fold increase. The ICO collected £19.6 million in fines in the first half of 2025 alone, compared to £4.4 million in all of 2024.
This isn't gradual change. It's a step-change.
In April 2025, the ICO named AI as an enforcement priority in its 2025-2026 AI and Biometrics Strategy. Commissioner John Edwards stated the ICO will "not hesitate to use formal powers" and confirmed: "There is no 'AI exemption' to data protection law."
The scale doesn't matter. In April 2025, the ICO fined DPP Law (a Merseyside law firm) £60,000 for multiple GDPR failures. Among the breaches: they notified the ICO 43 days after discovery, versus the 72-hour requirement. Late notification was treated as a separate, independent breach. Small firm. Big fine. No exemption.
Your team's ChatGPT usage isn't exempt. Your designer's Midjourney prompts aren't exempt. Your strategist's Claude research isn't exempt. If personal data is involved—and client data almost always includes personal data—UK GDPR applies in full.
The regulatory risk isn't that you might get caught someday. The regulatory risk is that enforcement has already accelerated, processors are already being fined, and AI is already a stated priority. You're operating in the enforcement window, not before it.
Operational Risk: The Samsung Precedent
On March 11, 2023, Samsung's semiconductor division granted engineers access to ChatGPT to improve productivity. Twenty days later, on March 31, the company discovered three separate incidents of confidential data exposure.
One engineer uploaded proprietary source code to debug an error. Another uploaded internal meeting transcripts containing chip yield data. A third uploaded confidential equipment data.
Samsung didn't get hacked. No one broke a password. The door was opened from the inside—by engineers trying to do their jobs better.
The data became irrecoverable. Once information enters a training dataset, there's no retrieval mechanism. The code, the yields, the equipment specifications—years of R&D investment potentially compromised in three prompts.
Samsung banned ChatGPT immediately. But the ban came after the exposure, not before it. The governance arrived after the loss.
This same pattern plays out in UK agencies. Research from Microsoft shows 71% of UK employees use unauthorised AI tools. Based on my agency experience and governance framework development, the exposure happens predictably: a creative uses Midjourney to mock up client concepts; uploads the brief, the brand guidelines, the competitive analysis. A strategist uses ChatGPT to analyse campaign performance; pastes in client names, revenue figures, conversion data. An account manager uses Claude to draft a proposal; includes the client's confidential budget breakdown.
None of them are being reckless. They're trying to do excellent work efficiently. But excellent intentions don't prevent data exposure when the tools themselves create risk.
Conservative estimates suggest the Samsung incident cost upwards of £100 million in compromised intellectual property. The engineers weren't reckless. They weren't malicious. They were trying to debug code efficiently. Good intentions don't prevent data exposure.
Research indicates that approximately 3.1% of AI prompts contain confidential business data. That's roughly 1 in 30 interactions potentially exposing client information. If your team uses AI 50 times per week, which is conservative for a 10-person agency, you're creating 1-2 confidential data exposures weekly without knowing it.
The operational risk isn't that your team might misuse AI someday. The operational risk is that misuse is already happening, data is already exposed, and you won't know until a client asks: "Why is our strategy deck showing up in a competitor's AI output?"
By then, like Samsung, the governance arrives after the loss.
Commercial Risk: The Client Interrogation
In September 2024, the World Federation of Advertisers surveyed 48 multinational brands controlling $102 billion in annual marketing spend.
The findings: 80% have "serious concerns" about their agencies' generative AI use. 66% cite legal risk as their primary worry. Only 36% have AI governance clauses in their agency contracts. And 48% are introducing them.
When I speak with UK agency leaders about this data, I hear the same response: "Our clients haven't asked yet."
That's changing. Fast.
The WFA research translates to client behaviour in predictable stages. First, procurement teams update RFP templates. Then, contract reviews surface AI governance questions. Then, existing clients start asking: "How are you handling our data in AI tools?"
That interrogation has three parts:
  1. Tool Stack Disclosure — Which AI tools are you using? Who approved them? What's your change management process when team members want to try new tools?
  1. Data Handling Documentation — How do you ensure our confidential information doesn't enter training datasets? What's your process for verifying AI tools meet UK GDPR requirements?
  1. Accountability Frameworks — Who owns AI output quality? What happens if AI-generated work contains errors? How do we audit your AI usage?
Most agencies can't answer these questions because they don't know what their team is using. Shadow AI means the tools are invisible until something goes wrong.
The commercial risk isn't that clients might ask questions someday. The commercial risk is that 80% of them already have serious concerns, half are changing contracts, and you're competing against agencies who can answer the interrogation with documented governance.
The Cascade Effect
Here's what makes Shadow AI risk particularly dangerous for agencies: you don't work with one client. You work with 10, 15, 20 clients simultaneously.
One GDPR breach doesn't affect one client. It affects every client whose data you hold.
Under UK GDPR Article 33, when you discover a personal data breach likely to result in risk to individuals, you must notify the ICO within 72 hours. Not 72 business hours. 72 hours.
You have 72 hours to investigate, assess risk, and notify the ICO. That's 72 hours to:
  • Determine which clients are affected (you hold data for 15 clients—which datasets were exposed?)
  • Assess whether the breach creates risk to individuals (you need legal advice, fast)
  • Notify the ICO with accurate information (incomplete notifications create additional breaches)
  • Prepare client notifications (15 separate conversations, 15 sets of questions you can't answer)
The 72-hour clock doesn't pause while you figure out what happened. It started the moment you discovered the breach, or the moment you should have discovered it.
When Shadow AI exposure triggers a breach, you also must notify affected data subjects "without undue delay." For an agency holding data for 15 clients, that's 15 separate client notifications, each triggering their own compliance review of your firm.
This is the cascade effect. One exposure doesn't create one problem. It creates a portfolio-wide crisis.
The agency holding data for 15 clients faces 15 damaged relationships, 15 contract reviews, and 15 sets of questions you can't answer if you've been operating on Shadow AI.
The cascade multiplies consequences. One client asks about your AI governance. You can't answer. Word spreads. By the time you're building governance, you're managing 15 damaged relationships simultaneously.
Why "Just the Processor" Doesn't Protect You
Many agency leaders believe processor status provides protection: "We don't own the data. Our client does. We're just processing it for them."
This belief is wrong.
Under UK GDPR Article 28, processors have independent obligations:
Your client didn't authorise ChatGPT for their data. They didn't approve OpenAI, Anthropic, or Google as sub-processors. And when your team uploads client information to consumer AI tools, you're processing data in ways your client never instructed and using sub-processors your client never approved.
That's not a technical violation. It's a fundamental breach of your processor obligations. And Advanced Computer Software's £3 million fine confirmed that processor status doesn't protect you—it defines your liability.
Being "just the processor" doesn't protect you. It defines your liability.
The Objections That Don't Hold
When I present this regulatory reality to agency leaders, I hear four objections repeatedly. Each sounds reasonable. None withstands scrutiny.
"We're too small to be fined."
DPP Law is a Merseyside law firm—not a multinational. They received a £60,000 fine in April 2025. Advanced Computer Software received £3 million in March 2025 as a processor, not the controller. The ICO doesn't exempt small firms. They fine based on breach severity and organisational failures, not company size.
"No one's been caught yet."
The absence of agency-specific precedent means the first agency caught will be made an example of. The ICO has named AI as an enforcement priority. Professional services firms are being fined for data protection failures. Agencies face identical exposure. Don't be the test case that creates the precedent.
"Our team is careful."
I believe you. Your team IS careful. So were Samsung's engineers. They weren't reckless junior developers. They were senior engineers debugging production code—exactly what they were hired to do.
But carefulness doesn't change the mathematics. Research shows approximately 3.1% of AI prompts contain confidential data. If your team uses AI 50 times per week, which is conservative for a 10-person agency, you're creating 1-2 confidential data exposures weekly. Your team's professionalism doesn't reduce that percentage. It just means they don't realise they're doing it.
"AI tools are too useful to restrict."
You're exactly right. The answer isn't restriction. It's governance. Samsung didn't need to ban ChatGPT. They needed to govern it before deployment. The same applies to your agency. The regulatory reality isn't arriving. It's arrived.
The ICO has named AI as an enforcement priority. Fines have increased seven-fold year-over-year. Processors are being held independently liable. The "AI exemption" has been explicitly rejected. And 80% of your potential clients have serious concerns about agency AI governance.
This creates two paths forward:
Path One: Continue operating on Shadow AI. Ungoverned tools, undocumented usage, unaudited exposure. Hope you're not the first agency caught when the ICO decides to make an example. Hope your clients don't start asking the questions you can't answer. Hope the 72-hour notification window never opens—because you won't be ready when it does.
Path Two: Implement governance before consequences arrive. Document your AI usage. Formalise your tool stack. Create accountability for data handling. Answer client questions with evidence, not assurances.
The difference between these paths isn't compliance versus innovation. It's formalised governance versus informal practices.
